Software-as-a-Service Agreement

Terms of Service

Last updated: October 14, 2026

These Terms of Service ("Terms") are a binding agreement between you and El Dorado Trucking Software ("EDTS", "we", "us", or "our"), a business registered in and operated from the State of California, USA. They govern your access to and use of the EDTS software-as-a-service platform at edtruckingsoftware.com, our mobile and web applications, and our text message and email notification programs (together, the "Service").

How we collect, use, protect, and share personal information is described separately in our Privacy Policy. The Privacy Policy is a separate document, but it forms part of your agreement with us.

Please read before using EDTS

By creating an account, signing in, enrolling in notifications, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms and the Privacy Policy — in particular the sections on security, your security responsibilities, security incidents and cyber attacks, and how we encrypt and restrict access to personal information.

If you use the Service on behalf of a company, you represent that you have authority to bind that company, and "you" refers to both you and the company. If you do not agree, do not use the Service.

1. Definitions

  • "Customer" means the trucking company or other business that registers for and subscribes to the Service.
  • "Authorized User" means an individual the Customer permits to use the Service under its account, such as administrators, dispatchers, employees, and drivers.
  • "Customer Data" means all data and files submitted to the Service by or for the Customer, including dispatches, freight bills, tickets, invoices, payment statements, fleet records, and records about drivers and employees.
  • "Personal Information" means information that identifies or can reasonably be linked to an individual, as further described in the Privacy Policy.
  • "Sensitive Personal Information" means Personal Information such as Social Security numbers, taxpayer identification numbers, driver's license details, and bank or payment account information.

2. The Service and Accounts

EDTS provides cloud-hosted dispatch, freight bill, invoicing, hauler settlement, and fleet management software for trucking companies and their drivers. We host, operate, and maintain the Service; you access it over the internet and do not install or host it yourself.

United States only. The Service is offered only to businesses and individuals located in the United States. You may not use the Service, or enroll in notifications, from outside the United States.

You must provide accurate and complete registration information and keep it up to date. The Customer is responsible for all activity under its account, for the actions of its Authorized Users, and for deciding which Authorized Users may access which features and data. You must be at least 18 years old to use the Service.

3. Subscriptions, Trials, and Fees

Paid features are offered on a subscription basis as described on our Pricing page. We may offer a free trial; at the end of a trial, continued use of paid features requires a paid subscription. Subscriptions are billed in advance for each billing period and continue until cancelled. You may cancel at any time, effective at the end of the current billing period.

Except where required by law, fees are non-refundable. We may change our prices with at least 30 days' notice; changes take effect at the start of your next billing period. Fees do not include taxes, which are your responsibility.

4. Customer Data and Personal Information

Ownership. As between you and EDTS, the Customer owns all Customer Data. You grant EDTS a limited license to host, store, process, transmit, and display Customer Data only as needed to provide, secure, support, and improve the Service, and as described in the Privacy Policy. We do not sell Customer Data.

Our role. For Personal Information contained in Customer Data — for example, records about your drivers and employees — EDTS acts as a service provider (processor) on the Customer's behalf and processes it only on the Customer's instructions as expressed through its use of the Service.

Your obligations. The Customer is responsible for the accuracy and legality of Customer Data and for having all notices, consents, and rights needed to submit Personal Information to the Service, including Personal Information of drivers, employees, and contractors. You should enter Sensitive Personal Information (such as Social Security numbers) only when it is necessary for a legitimate business purpose such as payroll, tax reporting, or settlement, and you must give account access only to Authorized Users who need it.

5. Our Security Commitments

We maintain administrative, technical, and physical safeguards designed to protect the security, confidentiality, and integrity of Customer Data and Personal Information. These include:

  • Encryption in transit: all connections to the Service and between our application servers and database use TLS (HTTPS), with HTTP Strict Transport Security enforced in the browser.
  • Encryption at rest: Customer Data is stored in a managed cloud database that encrypts data at rest.
  • Credential protection: passwords are stored only as salted one-way hashes (bcrypt) and are never stored or visible in plain text, including to EDTS staff.
  • Secure database: the production database is not publicly browsable; it is reachable only by authenticated application servers and a limited number of authorized personnel.
  • Tenant isolation and access control: each Customer's data is logically separated, and requests are checked against the signed-in user's company and role.
  • Session security: sessions expire after a period of inactivity and require signing in again.
  • Monitoring and defenses against attack: activity logging, rate limiting, browser security headers, and regular review and patching of software dependencies.

More detail is in the "How We Protect Your Information" section of our Privacy Policy. We may update our safeguards over time, but we will not materially reduce the overall level of protection during your subscription.

6. Your Security Responsibilities

Security is a shared responsibility. EDTS secures the platform; the Customer and its Authorized Users are responsible for securing how they use it. You agree to:

  • Keep usernames and passwords confidential, use strong unique passwords, and never share accounts between people.
  • Grant each Authorized User only the role and access they need, and limit access to Sensitive Personal Information to people with a business need.
  • Promptly remove or deactivate Authorized Users who leave your company or no longer need access.
  • Keep the computers and mobile devices used to access EDTS updated, protected with a screen lock, and free of malware.
  • Be alert to phishing — EDTS will never ask for your password by email, text, or phone.
  • Upload only files you are entitled to share and that you believe are free of malicious code.
  • Notify us immediately at edtruckingsoftware@gmail.com if you suspect any unauthorized access to your account or any compromise of your credentials or devices.

EDTS is not responsible for unauthorized access or loss that results from your failure to meet these responsibilities, such as shared or stolen credentials, or access granted by your administrators.

7. Security Incidents and Cyber Attacks

No internet-connected system can be made completely immune to cyber attacks, and we cannot guarantee that the Service will never be the target of hacking, malware, denial-of-service attacks, or other malicious activity. By using the Service you acknowledge this risk.

If we become aware of unauthorized access to, or acquisition of, Customer Data or Personal Information in our systems (a "Security Incident"), we will:

  • Take prompt steps to investigate, contain, and remediate the Security Incident;
  • Notify affected Customers without undue delay, and in any event within the time required by applicable law, with the information reasonably available to us about what happened and the data involved;
  • Provide reasonable cooperation so that the Customer can meet any obligation it has to notify its own drivers, employees, or regulators; and
  • Notify individuals or authorities directly where the law requires EDTS to do so.

To protect the Service and other Customers, we may temporarily suspend access, force password resets, or block traffic while we respond to an attack or incident. Notifying you of a Security Incident is not an admission of fault or liability.

8. Acceptable Use

You agree not to, and not to allow anyone else to:

  • Access or attempt to access another Customer's data, or any account, system, or data you are not authorized to access;
  • Probe, scan, or test the vulnerability of the Service, or perform penetration testing, without our prior written permission;
  • Circumvent authentication, access controls, rate limits, or other security measures;
  • Upload or transmit viruses, malware, or other harmful code, or interfere with or overload the Service (including denial-of-service attacks);
  • Scrape, copy, or bulk-extract data from the Service by automated means other than features or exports we provide;
  • Reverse engineer, decompile, or copy the Service, or use it to build a competing product;
  • Use the Service for any unlawful purpose, or to send spam or messages without the recipient's consent; or
  • Resell or sublicense the Service except as we agree in writing.

Responsible disclosure. If you believe you have found a security vulnerability in EDTS, please report it privately to edtruckingsoftware@gmail.com and do not access, modify, or disclose other users' data. We will not pursue action against good-faith reports that follow this section.

9. EDTS Access to Customer Data

EDTS personnel access Customer Data only when needed to provide and maintain the Service, to give support you request, to investigate and respond to security or technical issues, to prevent abuse or fraud, or to comply with law. Access is limited to authorized personnel who are bound by confidentiality obligations, and administrative access to the platform is logged.

If we receive a legal demand (such as a subpoena) for Customer Data, we will, where legally permitted, notify the Customer so it can seek a protective order or other remedy.

10. Third-Party Services

We use carefully selected third-party providers to run the Service — for example, cloud hosting, managed database hosting, and email and text-message delivery. These providers may process Customer Data only to perform services for us and are required to protect it. A description of these categories is in our Privacy Policy. Third-party products that you choose to connect to or use alongside EDTS are governed by their own terms.

11. Text Message and Email Notification Terms

Program description. Drivers can enroll through our notification enrollment page to receive notifications from the trucking companies they select, by text message, email, or both. When you enroll a mobile number, EDTS will send text messages to that number, limited to the message types you opted in to:

  • Dispatch and job notifications: dispatch assignments, schedule changes and cancellations, freight bill and ticket reminders, and payment statement notices.
  • Marketing messages (only if you separately opted in): product updates, new feature announcements, and special offers.

Message frequency. Frequency of dispatch and job notifications varies based on your dispatch activity. Marketing messages are limited to 20 per month.

Cost. Message and data rates may apply, according to your mobile carrier plan. EDTS does not charge for text messages.

Opt out. You can cancel text messages at any time by replying STOP to any message. You will receive one final message confirming that you have been unsubscribed, and no further messages will be sent. To rejoin, enroll again through the enrollment page. To stop email notifications, use the unsubscribe link in any email or contact us.

Help. Reply HELP to any message for assistance, or contact us at edtruckingsoftware@gmail.com.

Consent. Consent to receive text messages is not a condition of any purchase or of using EDTS. You confirm that you are the subscriber or authorized user of the mobile number and the owner of the email address you enroll.

Carriers. Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier.

Privacy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for how we handle your information.

12. Confidentiality

Each party may receive non-public information from the other ("Confidential Information"). Customer Data is the Customer's Confidential Information; the Service, its non-public features, and our pricing terms are ours. Each party will use the other's Confidential Information only to perform under these Terms, protect it with at least reasonable care, and disclose it only to people who need to know it and are bound by similar obligations, or as required by law.

13. Intellectual Property

EDTS and its licensors own all rights in the Service, including the software, design, and documentation. Subject to these Terms and payment of applicable fees, we grant the Customer a non-exclusive, non-transferable right for its Authorized Users to use the Service for the Customer's internal business purposes during the subscription. If you send us feedback or suggestions, we may use them without obligation to you.

14. Term, Suspension, and Termination

These Terms apply for as long as you use the Service. You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access immediately if you materially breach these Terms, fail to pay fees, or if your use poses a security risk to the Service or others.

Your data after termination. For 30 days after termination, the Customer may request an export of its Customer Data. After that period, we will delete or de-identify Customer Data from our active systems within a reasonable time, except where we must retain it to comply with law, resolve disputes, or enforce our agreements. Residual copies in backups are deleted as those backups expire on their normal schedule.

15. Disclaimers

Except as expressly stated in these Terms, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that notifications will always be delivered on time. You are responsible for reviewing dispatches, invoices, and statements for accuracy before relying on them.

16. Limitation of Liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to the Service, even if advised of the possibility of such damages. EDTS's total liability for all claims arising out of or related to these Terms or the Service will not exceed the amounts the Customer paid to EDTS for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to the extent prohibited by law.

17. Indemnification

The Customer will defend and indemnify EDTS against third-party claims arising from Customer Data (including the Customer's collection of Personal Information without required notices or consents), the Customer's or its Authorized Users' violation of these Terms or of law, or unauthorized access caused by the Customer's failure to meet its security responsibilities.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of California and applicable federal law of the United States, without regard to conflict-of-law rules. Before filing a claim, each party agrees to try in good faith to resolve the dispute informally by contacting the other party in writing. If the dispute is not resolved within 30 days, it will be resolved exclusively in the state or federal courts located in California, and each party consents to the personal jurisdiction of those courts.

19. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date, and for material changes we will give Customers reasonable advance notice by email or in the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
